Starter Kit Commercial License Agreement

1. Definitions
"Starter Kit" means the LLM-based Web Application Starter Kit source code, documentation, templates, scripts, components, and related materials provided by the Licensor.
"Licensor" means The Zaal Group LLC.
"Licensee" means the individual or legal entity that has purchased a valid license.
"Developer" means any individual who directly accesses, views, modifies, or interacts with the Starter Kit source code.
"Commercial Product" means a product, application, SaaS platform, API service, or internal system built using the Starter Kit as a foundation.
2. Grant of License
Subject to full payment and compliance with this Agreement, Licensor grants Licensee a:
- Non-exclusive
- Non-transferable
- Per-developer
- Revocable only in the event of violation of this Agreement
license to use the Starter Kit under the terms described herein.
Each purchased license entitles one (1) Developer seat.
This Agreement grants a license to use the Starter Kit and does not transfer ownership of the Starter Kit.
3. License Scope
This license applies only to the specific Starter Kit product purchased.
Purchasing a license for one Starter Kit does not grant rights to other Starter Kit products offered by the Licensor.
4. Permitted Use
Licensee may use the Starter Kit for the following purposes:
Internal Business Use
Licensee may use the Starter Kit to develop internal tools, automation systems, dashboards, or operational software within their organization.
Client Work
Licensee may use the Starter Kit to develop applications for paying clients.
If the Starter Kit source code is shared with the client, each developer at the client organization who accesses the source code must obtain a valid Developer license.
Commercial SaaS Products
Licensee may use the Starter Kit to build and operate commercial products, including:
- SaaS platforms
- Subscription services
- APIs
- AI-powered applications
- Hosted platforms
Licensee may commercialize and monetize products built using the Starter Kit without paying royalties or revenue share to the Licensor.
Licensee may deploy unlimited end-user instances of applications built using the Starter Kit.
5. Restrictions
Licensee may NOT:
Redistribute Source Code
Redistribute, sublicense, share, publish, or provide the Starter Kit source code (in whole or in part) to any third party without proper licensing.
Resell the Starter Kit
Sell, resell, license, sublicense, or commercially distribute the Starter Kit itself.
Offer as Competing Template
Use the Starter Kit to create, market, or sell a competing starter kit, boilerplate, template, framework, scaffolding tool, or similar developer-focused product.
Public Repository Publication
Publish the Starter Kit source code in a public repository including but not limited to GitHub, GitLab, Bitbucket, or similar platforms.
SaaS Access to the Starter Kit Itself
Offer a SaaS or hosted platform where users can directly access, download, clone, generate, scaffold, or obtain the Starter Kit or any substantially similar template derived from it.
6. Seat Requirement (Per Developer Licensing)
Each Developer who:
- Accesses the source code
- Modifies the source code
- Reviews the source code
- Contributes to projects built from the source code
must have a valid paid Developer license.
Access through shared repositories, CI/CD systems, private hosting environments, or internal code mirrors does not exempt the seat requirement.
Licensee is responsible for ensuring compliance across its organization.
7. Ownership
The Starter Kit and all associated intellectual property remain the exclusive property of the Licensor.
This Agreement grants a license to use the Starter Kit but does not grant ownership of:
- the source code
- architecture
- framework design
- documentation
- templates
- development patterns
All rights not expressly granted are reserved.
8. Derivative Works
Licensee retains full ownership of any Commercial Product built using the Starter Kit.
However, ownership of derivative products does not include the underlying Starter Kit source code, which remains the intellectual property of the Licensor.
9. Updates and Support
Purchase of a license grants access to the Starter Kit as delivered at the time of purchase, including any updates explicitly included with the product.
Licensor may provide future updates, improvements, or patches at its discretion.
Unless explicitly stated, Licensor is not obligated to provide ongoing support, maintenance, upgrades, or feature enhancements.
10. Enforcement and Audit Rights
If Licensor reasonably suspects license abuse, unauthorized redistribution, or violation of developer seat requirements, Licensor reserves the right to:
- Request written confirmation of Developer seat count
- Request reasonable documentation verifying compliance
- Conduct a compliance audit with reasonable notice
If material non-compliance is discovered:
- Licensee must purchase any required additional licenses immediately
- Licensor may terminate the license for willful violation
- Licensor may pursue legal remedies available under applicable law
11. Term and Termination
This license becomes effective upon purchase and continues unless:
- Licensee breaches a material term of this Agreement
- Licensee fails to cure the violation within 30 days of written notice
Upon termination:
- Licensee must cease distribution of the Starter Kit source code
- Existing Commercial Products may continue operating, provided no further development occurs using the Starter Kit source code
12. No Warranty
The Starter Kit is provided "AS IS", without warranties of any kind, express or implied.
Licensor makes no guarantees regarding:
- performance
- reliability
- fitness for a particular purpose
- security
- AI model behavior
- regulatory compliance
Licensee assumes full responsibility for the use of the Starter Kit.
13. Limitation of Liability
To the maximum extent permitted by law, Licensor shall not be liable for:
- loss of revenue
- loss of profits
- business interruption
- loss of data
- security breaches
- indirect or consequential damages
Licensor's total liability under this Agreement shall not exceed the amount paid for the license.
14. Trademarks
This license does not grant Licensee any rights to use the Licensor's trademarks, trade names, brand names, or logos, unless explicitly authorized in writing.
15. Dispute Resolution and Class Action Waiver
Any disputes arising from this Agreement shall be resolved individually and not as part of any class action or representative proceeding.
Both parties waive the right to participate in class actions relating to this Agreement.
16. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.
