1. Definitions
"Starter Kit" means the LLM-based Web Application Starter Kit source code, documentation, templates, scripts, components, and related materials.
"Licensee" means the individual or legal entity that has purchased a valid license.
"Developer" means any individual who directly accesses, views, modifies, or interacts with the Starter Kit source code.
"Commercial Product" means a product, application, SaaS, or internal system built using the Starter Kit as a foundation.
2. Grant of License
Subject to full payment and compliance with this Agreement, Licensor grants Licensee a:
- Non-exclusive
- Non-transferable
- Per-developer
- Revocable
license to use the Starter Kit under the terms below.
Each purchased license entitles one (1) Developer seat.
This license does not grant ownership of the Starter Kit.
3. Permitted Use
Licensee may:
- Internal Business Use — Use the Starter Kit to build internal tools and systems within Licensee's organization.
- Client Work — Use the Starter Kit to develop applications or systems for paying clients, provided the Starter Kit source code is not transferred to the client unless the client also purchases appropriate developer licenses.
- Commercial SaaS Products — Use the Starter Kit to build and operate commercial SaaS products, including subscription-based platforms, APIs, and AI-powered services. Licensee may monetize products built using the Starter Kit without revenue sharing or royalties.
4. Restrictions
Licensee may NOT:
- Redistribute Source Code — Redistribute, sublicense, share, publish, or provide the Starter Kit source code (in whole or in part) to any third party without proper licensing.
- Resell the Starter Kit — Sell, resell, license, sublicense, or otherwise commercially distribute the Starter Kit itself.
- Offer as Competing Template — Use the Starter Kit to create, market, or sell a competing starter kit, boilerplate, template, framework, scaffolding tool, or similar derivative intended for developers.
- Public Repository Publication — Publish the Starter Kit source code in a public repository (including GitHub, GitLab, Bitbucket, etc.).
- SaaS Access to Starter Kit Itself — Offer a SaaS or hosted service where users can directly access, download, clone, scaffold, generate, or otherwise obtain the Starter Kit or a substantially similar template derived from it.
5. Seat Requirement (Per Developer Licensing)
Each Developer who:
- Accesses the source code
- Modifies the source code
- Reviews the source code
- Contributes to projects built from the source code
must have a valid, paid Developer license.
Access through shared repositories, CI/CD systems, or private hosting environments does not exempt the seat requirement.
Licensee is responsible for ensuring compliance across its organization.
6. Ownership
The Starter Kit remains the exclusive intellectual property of Licensor.
This Agreement grants a license to use the Starter Kit — not ownership of the underlying code, architecture, or framework.
All rights not expressly granted are reserved.
7. Enforcement & Audit Rights
If Licensor reasonably suspects license abuse, unauthorized redistribution, or violation of seat requirements, Licensor reserves the right to:
- Request written confirmation of developer seat count
- Request reasonable documentation verifying compliance
- Conduct a compliance audit with reasonable notice
If material non-compliance is discovered:
- Licensee must purchase additional required licenses immediately
- Licensor may terminate the license for willful violation
- Licensor may pursue legal remedies available under applicable law
8. Term & Termination
This license is effective upon purchase and continues unless:
- Licensee breaches material terms of this Agreement
- Licensee fails to cure violation within 30 days of written notice
Upon termination:
- Licensee must cease distribution of Starter Kit source code
- Existing Commercial Products may continue operating, provided no further development occurs using the Starter Kit source
9. No Warranty
The Starter Kit is provided "AS IS", without warranties of any kind, express or implied.
Licensor is not liable for:
- Business losses
- Revenue losses
- Data loss
- Security incidents
- AI model behavior or compliance risks
10. Limitation of Liability
Licensor's total liability under this Agreement shall not exceed the amount paid for the license.
11. Governing Law
This Agreement shall be governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
